Terms of Service
Effective date: June 1, 2026
1. Scope of Services
Cloud 9 Digital Marketing provides marketing systems, automation builds, website development, content production, and related services as defined in a signed Statement of Work (SOW) or Master Services Agreement (MSA) for each engagement. Services are limited to what is documented in that scope.
2. Payment Terms
All setup fees are due upfront before work begins. Monthly fees are billed at the start of each billing period. Pass-through costs — including ad spend, software subscriptions, SMS and phone usage, AI/API usage, and domain registration — are excluded from all quoted pricing and are billed at cost or invoiced separately.
3. Cancellation Policy
Monthly engagements may be cancelled with 30 days written notice. Notice may be sent by text to 210-880-3390 or email. One-time engagements (Fix It, Build It projects) are non-refundable once work has begun.
4. Ownership of Deliverables
Upon final payment, the client owns all deliverables produced under the engagement — including websites, code, automations, content, and documentation. Cloud 9 retains no license to use client work for any purpose without written permission.
5. No Performance Guarantees
Cloud 9 does not guarantee leads, traffic, search rankings, bookings, reviews, ad ROI, revenue, or any other business outcome. We guarantee the work described in the scope, delivered on the agreed timeline, at the agreed price. See the No-Guarantees Disclosure for full detail.
6. Limitation of Liability
Cloud 9's total liability in any dispute is limited to the fees paid by the client in the 30 days preceding the claim. We are not liable for indirect, incidental, or consequential damages of any kind.
7. Governing Law
These terms are governed by the laws of the State of Texas. Disputes shall be resolved in Bexar County, Texas.
